Job Description

Job Title: Corporate M&A Paralegal


Job Type: Contract

Job Summary:

Join our customer's team as a Corporate M&A Paralegal and play a pivotal role in supporting complex mergers, acquisitions, and corporate transactions. You’ll leverage your expertise in compliance, financial documentation, and data privacy to ensure seamless deal execution and secure handling of sensitive information.


Key Responsibilities:

  1. Support attorneys and deal teams in all stages of M&A transactions, including due diligence, document preparation, and post-closing activities
  2. Review, organize, and manage sensitive corporate and financial documents, ensuring strict compliance with Personally Identifiable Information (PII) regulations
  3. Oversee secure handling, redaction, and transfer of PII and other confidential data throughout deal processes
  4. Assist in drafting, filing, and maintaining compliance documentation and regulatory submissions as required
  5. Conduct PII compliance checks, identify risks, and implement process improvements to enhance data privacy
  6. Liaise with internal stakeholders and external parties, clearly communicating updates, risks, and requirements both in writing and verbally
  7. Maintain meticulous records, manage checklists, and track key transaction milestones to ensure operational efficiency


Required Skills and Qualifications:

  1. Minimum 2 years’ experience with PII compliance in a corporate or M&A legal setting
  2. Demonstrated expertise in handling and protecting sensitive and proprietary documentation
  3. Strong knowledge of Mergers & Acquisitions processes, terminology, and best practices
  4. Deep understanding of regulatory frameworks governing data privacy and compliance
  5. Proven ability to manage complex financial documents and diligence materials
  6. Exceptional written and verbal communication skills; ability to distill complex legal issues concisely
  7. High attention to detail, strong organizational skills, and a proactive approach to problem-solving


Preferred Qualifications:

  1. Corporate or finance industry paralegal experience
  2. Awareness of nuanced ways PII can be embedded in proprietary processes, workflows, or protocols
  3. Experience supporting large-scale, multi-jurisdictional deals
